 Music Usage Agreement: Dr. Albert Einstein Tan & Dr. Julie Rao Clinic

2. Permitted Uses
The Licensee may:

Play the Music continuously or intermittently within the product
Integrate the Music into the overall sensory design of the product   aiming to promote relaxation, well-being, and a sense of calm for patients undergoing various treatments or consultations.[2]

3. Restrictions
The Licensee shall not:

Resell, sublicense, distribute, or otherwise commercially exploit the Music to any third party. This includes, but is not limited to, selling copies of the Music, offering it for download, or incorporating it into products or services for sale.[3]
Alter, remix, or create derivative works from the Music without the express prior written consent of the Licensor.
Claim ownership or authorship of the Music.
Use the Music in any manner that is unlawful, defamatory, or infringes upon the rights of any third party.

5. Ownership
The Licensor retains all rights, title, and interest in and to the Music, including all copyrights and intellectual property rights. This Agreement grants only a limited license to use the Music as expressly set forth herein and does not transfer any ownership rights.[5]

6. Indemnification
Licensee agrees to indemnify, defend, and hold harmless Licensor from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Licensee's breach of this Agreement or Licensee's unauthorized use of the Music.[6]

7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of china without regard to its conflict of laws principles.

8. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
